- All orders are subject to acceptance by Seller’s general sales office.
- Seller may at any time decline to make any shipment or delivery of the goods ordered except upon payment of the purchase price or receipt of satisfactory security therefor, or approval of Buyer’s financial responsibility.
- Any taxes which the Seller may be required to pay or collect, under any existing or future law, with respect to the sale, purchase, use, storage or transportation of the goods sold to Buyer hereby shall be for the account of Buyer, and Buyer shall promptly pay the same to Seller upon demand.
- Seller shall not be responsible for delays in or failure of delivery resulting from labor disputes, fires, floods and other casualties, public disturbances, governmental regulations, transportation delays, material shortages or other causes or conditions of similar nature or otherwise beyond the control of Seller, and Seller shall not be responsible for loss or damage of goods in transit.
- All goods are sold and delivered subject to standard manufacturing and other variations and practices customary in the trade. All claims for defective goods or for errors or shortages in goods delivered by Seller shall be made in writing by Buyer within five (5) days after receipt of the goods by Buyer. Failure to notify Seller of any defects, errors or shortages within such period shall con-stitute an irrevocable acceptance of the goods and an admission that they comply with all the terms and conditions of the contract between the parties. Equipment offered herein that is manufactured by other companies shall carry the warranties or guarantees of those other manufacturers. The Seller makes no warranty beyond those specifically offered by the manufacturer of the equip-ment offered herein.
- Except as specifically stated by Seller in writing, ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WAR-RANTIES OF MERCHANTABILITY AND FITNESS, ARE EXCLUDED.
- Liability of Seller for goods found to be defective or not in accordance with agreed specifications, or for other breach of contract, shall be limited to replacement of goods or repayment of the purchase price thereof, as the Seller shall elect. SELLER SHALL NOT BE LIABLE FOR ANY ACCIDENTAL OR CONSEQUENTIAL, DAMAGES OR EXPENSES.
- Any clause required to be included in a contract of this type by any applicable law or government regulation shall be deemed to be incorporated herein.
- No other terms or conditions and no modification of these terms and conditions shall be binding upon Seller unless hereafter agreed to in writing by an authorized representative of Seller.
- Offer & Acceptance – proposal prices quoted herein are subject to any applicable taxes. Quoted prices are good for 30 days from date of proposal, or as specified on the proposal, whichever is less. Acceptance of this order is subject to final approval by the Seller’s Credit Department.
- Returns – in the event that Purchaser desires to return equipment to Seller, prior written approval from the Manager of the appropri-ate department must be approved. No returns will be accepted without this approval and until restocking, freight, repair charges are agreed to.
- Cancellations – in the event that an order resulting from the proposal is cancelled by the customer and a cancellation charge is made by the manufacturer, Purchaser agrees to compensate Seller for this charge which includes freight and whatever charges are incurred.
